5-YEAR LIMITED WARRANTY

Subject to the exclusions set forth below, VS of Nevada LLC (the “Company”) warrants its light-emitting diode (LED) luminaires—including the LED arrays, LED drivers, and integral control devices marketed under the brand names Vertical Solutions, VS Grow Tech, VS, Vesol, and Evo Grow (collectively, “LED Luminaire(s)”)—to be free from defects in material and workmanship (the “Limited Warranty”) for a period of five (5) years from the date of shipment from the Company’s facilities. For third-party brands distributed by the Company, such as Astrica Tech, the original manufacturer’s warranty applies, and the Company acts as a claims facilitator subject to the protocols defined herein.

The Company warrants its LED Luminaire controlling products (“LED Controllers”) to be free from defects in material and workmanship for a period of three (3) years from the date of shipment. The LED arrays in the LED Luminaire(s) will be considered defective in material or workmanship only if a total of 15% or more of the individual light-emitting diodes in the LED Luminaire(s) fail to illuminate during the applicable warranty period.

Exclusions & Mandatory Duty to Mitigate

This Limited Warranty applies only when the LED Products are installed in applications in which ambient temperatures are within the range of intended operating temperatures. The Company will not be responsible for any failure resulting from external causes, including but not limited to: acts of nature; physical damage; environmental conditions; vandalism; fire; power failure, improper power supply, power surges or dips, or excessive switching; induced vibration; animal or insect activity; fault or negligence of the purchaser, any end user, or any third party; improper or unauthorized use, installation, handling, storage, alteration, maintenance, or service; or failure to comply with any applicable codes and/or recommendations of the Company.

The Company is not responsible for substantial deterioration in the fixture finish caused by failure to clean, inspect, or maintain the finish. This Limited Warranty specifically excludes "accumulated" or "stacked" failures. End users have a mandatory duty to report any fixture failure within ten (10) calendar days of the initial occurrence. Failure to notify the Company of individual malfunctions as they arise, or allowing multiple failures to accumulate without immediate mitigation or reporting, constitutes gross negligence and voids the warranty for the entire affected batch. Adequate records of operating history, maintenance, and/or testing must be kept by the end user and provided to the Company upon request.

Commercial Applicability & Remedies

This Limited Warranty only applies to commercial sales through the Vertical Solutions website, authorized distributors, or in person. If the LED Products fail to comply with these terms, at the Company’s option, it will repair or replace the product with a functionally equivalent component. This Limited Warranty excludes labor and equipment required to remove and/or reinstall parts. It is for the sole and exclusive benefit of the original end user and may not be transferred or assigned. The repair or replacement of any Products or component is the sole and exclusive remedy and does not extend the original warranty period.

Mandatory Claim & Documentation Protocols

Warranty claims regarding the Products must be submitted in writing within ten (10) calendar days of the initial failure to Warranty@VSGrowTech.com.

Upon the initiation of a claim, the claimant must provide comprehensive visual evidence within seventy-two (72) hours of the request to Warranty@VSGrowTech.com. This evidence must consist of a single, continuous, high-resolution video scan of all reported units in their installed environment. The video must clearly and indisputably demonstrate:

  1. Active Power Verification: The power source/outlet used for the fixture must be shown to be active and functional (e.g., by testing the outlet with a voltage meter or plugging in a known working device in the same shot).
  2. Secure Connection: The fixture must be shown to be powered on, securely plugged into said active power source, with all cables, plugs, and connectors fully seated and in good repair.
  3. The Malfunction: The specific failure (e.g., non-illumination or diode flickering) of the unit while simultaneously displaying the serial number of that specific fixture.

Failure to provide a continuous video that clearly links the active power source and the malfunction to the specific serial number within the 72-hour window will result in the immediate and permanent closure of the claim file to maintain the integrity of the hardware assessment.

Return Merchandise Authorization (RMA) & Statistical Anomaly Protocol

No Products will be accepted for return unless accompanied by a Return Merchandise Authorization (RMA) number issued by the Company. An RMA will ONLY be issued once the 72-hour documentation and power verification requirements have been fully satisfied. Unauthorized shipments will be refused at the dock.

Any claim involving a failure rate of 5% or more of a total project order is categorized as a “Statistical Anomaly.” Such claims are subject to a mandatory Forensic Failure Analysis (FFA). The Company reserves the right to withhold replacement or repair until a laboratory teardown confirms the failure was not caused by external environmental factors, improper circuit loading, or electrical non-conformance. For Statistical Anomalies, the claimant must provide the facility’s electrical and environmental logs for the thirty (30) days preceding the reported failure upon request.

Limitation of Liability

THE FOREGOING WARRANTY TERMS ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES. THE COMPANY EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

The total liability of VS of Nevada LLC on any and all claims shall in no event exceed the purchase price allocable to the LED Products that give rise to the claim, and all such liability shall terminate upon the expiration of the warranty period.

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF TIME, PROFITS OR REVENUES, LACK OR LOSS OF PRODUCTIVITY, COST OF SUBSTITUTE EQUIPMENT, OR DOWNTIME COSTS.
